Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Intellix Hub ("we," "us," or "our") governing your access to and use of the Intellix Hub platform, website, and services (collectively, the "Platform") available at intellix-hub.com.

By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not use the Platform. We reserve the right to update these Terms at any time. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.

2. Definitions

The following definitions apply throughout these Terms:

PlatformThe Intellix Hub website, applications, and all associated services available at intellix-hub.com.
ClientA user who posts job requirements and hires professionals through the Platform.
ProfessionalA user who creates a profile, applies to jobs, and provides services to clients through the Platform.
UserAny individual or entity that registers for or uses the Platform, whether as a Client, Professional, or visitor.
ContractAn agreement formed between a Client and a Professional through the Platform for the provision of specific services.
DeliverableA defined deliverable or phase within a Contract for which payment is agreed between parties.
EscrowThe arrangement by which Stripe holds client payment funds until a Deliverable is approved by the Client, at which point funds are released to the Professional minus the Platform Fee.
Platform FeeIntellix Hub does not currently charge a platform fee during early access. A platform fee may be introduced in the future with advance notice to all users.
StripeStripe, Inc., the third-party payment processor used by Intellix Hub to facilitate all financial transactions.
ContentAny text, images, files, code, or other material posted or shared on the Platform by Users.

3. Eligibility

To use the Intellix Hub Platform, you must meet all of the following requirements:

  • You must be at least 18 years of age.
  • You must have the legal capacity to enter into binding contracts under the laws of your jurisdiction.
  • You must not be prohibited by any applicable law from using the Platform or entering into contracts.
  • You must not have a previously suspended or terminated Intellix Hub account, unless we have given you express written permission to create a new one.
  • If you are using the Platform on behalf of a business or organisation, you must have the authority to bind that entity to these Terms.

By using the Platform, you represent and warrant that you meet all of these eligibility requirements. We reserve the right to verify eligibility and to refuse or terminate access for any user who does not meet these requirements.

4. Account Registration & Security

To access most features of the Platform, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Keep your account information up to date at all times.
  • Maintain the security and confidentiality of your password.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately at support@intellix-hub.com if you suspect any unauthorised use of your account.

You may not create more than one account, share your account credentials with any other person, or use another user's account without permission. We are not liable for any loss or damage resulting from your failure to protect your account credentials.

We reserve the right to disable any user account, at any time in our sole discretion, if we believe you have violated these Terms or if we have reasonable grounds to suspect fraudulent or abusive activity.

5. Description of Services

Intellix Hub is a global online marketplace that facilitates connections between Clients seeking remote talent and Professionals offering their services. Our Platform includes, but is not limited to:

Global Marketplace

A searchable directory of professional profiles and job postings, enabling Clients and Professionals to discover and connect with one another across international borders.

Job Posting & Application System

Tools for Clients to post detailed job requirements, and for Professionals to submit proposals and applications in response.

Payment System

The Intellix Hub payment tracking system, where payment arrangements are recorded and confirmed between Clients and Professionals. Full escrow protection via Stripe Connect is planned for a future platform upgrade.

Messaging & Contract Management

Built-in communication tools and contract management features to facilitate collaboration between Clients and Professionals throughout an engagement.

Review & Rating System

A two-sided review system allowing Clients and Professionals to leave ratings and written reviews following the completion of a contract, contributing to the reputational layer of the Platform.

Intellix Hub acts as a facilitator only. We are not a party to any contract formed between a Client and a Professional, and we do not employ, supervise, or control the work of any Professional on the Platform.

6. For Clients

As a Client using Intellix Hub, you agree to the following:

Posting Job Requirements

When posting a job, you must provide a clear, honest, and complete description of the work required, including the scope, expected deliverables, timeline, and budget. Misleading or vague job postings that waste Professionals' time are a violation of these Terms.

Reviewing Applications

You are responsible for reviewing applications and making hiring decisions in a fair and non-discriminatory manner. You must not reject applicants on the basis of race, gender, religion, nationality, disability, age, or any other characteristic protected by law.

Funding Escrow for Deliverables

Before work commences on any Deliverable, both parties should agree on payment terms and confirm the payment arrangement. During early access, payments are processed manually. Failure to make agreed payments may result in contract disputes.

Approving and Releasing Payments

You agree to review deliverable submissions in a timely manner — within 7 business days of submission. If you do not approve or dispute a deliverable submission within this window, payment is considered approved and should be released to the Professional. You must not withhold approval of a deliverable without reasonable cause.

Leaving Reviews

You are encouraged to leave honest, fair reviews following the completion of a contract. Reviews must reflect your genuine experience and must not be fabricated, coerced, or retaliatory. Intellix Hub reserves the right to remove reviews that violate these standards.

7. For Professionals

As a Professional using Intellix Hub, you agree to the following:

Creating and Maintaining Your Profile

Your profile must be accurate and up to date. You must only represent skills, qualifications, and experience that you genuinely possess. Creating a misleading profile — including false credentials or fabricated work history — is a serious violation and may result in permanent removal from the Platform.

Applying to Jobs

When applying to jobs, your proposals must be honest and relevant to the job posting. Submitting bulk, templated, or clearly irrelevant proposals is prohibited. You must only apply to jobs where you have the genuine capability to deliver the required work.

Completing Deliverables

You are responsible for delivering work that meets the agreed-upon scope and quality standards within the agreed timeline. If you anticipate delays or issues, you must communicate proactively with the Client through the Platform's messaging system.

Connecting Your Stripe Account

To receive payment, you must connect a valid Stripe Express account. You are responsible for providing accurate banking and identity information to Stripe and complying with Stripe's terms of service. Intellix Hub is not responsible for payment delays caused by incomplete or inaccurate Stripe account setup.

Maintaining Professional Standards

You agree to communicate professionally with Clients, deliver work of reasonable quality, and conduct yourself in a manner that upholds the reputation of the Platform. Repeated client complaints, low ratings, or failure to deliver work may result in account suspension.

8. Platform Fee

During early access, Intellix Hub does not charge a platform fee. All contract payments are passed in full to the Professional. A platform fee may be introduced in the future with advance notice.

Bonus Payments — 0% Fee

Clients may send optional bonus payments to Professionals at any time. Bonus payments are completely commission-free — the full amount is transferred directly to the Professional. No platform fee applies to any payments during early access.

The Platform Fee covers:

  • Secure manual payments with bi-weekly professional payouts
  • Bi-weekly payment releases with full fee transparency
  • Dispute mediation and resolution services
  • Platform maintenance, development, and security
  • Client–Professional matching and search infrastructure
  • Customer support and trust & safety operations

Clients are not charged a separate fee. During early access, there is no platform fee. The full agreed contract amount is passed to the Professional. Professionals keep 100% of their quoted rates.

The minimum contract duration is 1 month (Trial Period). There is no 2-week contract option. After the trial period, contracts may be renewed by mutual agreement for 3, 6, 9, or 12 months.

Intellix Hub reserves the right to introduce a Platform Fee in the future. Users will receive reasonable advance notice before any fee changes take effect. Changes will not apply to contracts already funded in escrow at the time the change takes effect.

9. Payments & Escrow

Payment Processing

During early access, payments on the Intellix Hub Platform are arranged manually between Clients and Professionals. Clients send payments via Wise, bank transfer, GCash, or other agreed methods. Full automated payment processing via Stripe Connect is planned for a future platform upgrade. When automated processing launches, users will receive advance notice.

How Escrow & Billing Works

During early access: payments are arranged manually between Clients and Professionals. Clients pay monthly via Wise, bank transfer, or other agreed methods, and payments are recorded on the Platform. Professionals are paid bi-weekly. Admin confirms receipt of each payment before it is marked as released. Full automated escrow processing is planned for a future Platform upgrade.

The following describes the planned automated flow: When a Client activates a contract, the Platform charges the Client's payment method for the first month upfront. These funds are held in escrow by Stripe on behalf of the parties. After that, the Client is automatically charged monthly — one week before each new period begins — so funds are always ready in escrow before the next bi-weekly release cycle. This gives Professionals confidence that payment exists throughout the engagement.

Bi-weekly Release Process

During early access: Professionals are paid bi-weekly via manual transfer (Wise, bank transfer, or agreed method) sent directly by the Client. Each payment is recorded on the Platform and confirmed by Admin. No platform fee is deducted during early access — Professionals keep 100% of their agreed rate.

The following describes the planned automated flow: Professionals are paid automatically from escrow every 14 days. Each release shows a full breakdown: the gross bi-weekly amount, the platform fee, and the Professional's net payout. The Platform Fee is automatically deducted and the remainder is disbursed to the Professional's connected Stripe account. Typical payout timing depends on Stripe and the Professional's banking arrangements — usually within 2–7 business days. Intellix Hub is not liable for delays caused by Stripe, banking institutions, or the Professional's failure to properly set up their Stripe account.

Payment Failure & Grace Period

If a monthly charge to the Client's payment method fails, the Platform will retry the charge. Clients are given a 3-day grace period to update their payment method before the contract is placed on hold. During the grace period, the Professional is notified and bi-weekly releases may be paused. If payment is not resolved within the grace period, the contract may be suspended until the outstanding balance is settled. Repeated payment failures may result in contract termination at the discretion of Intellix Hub.

Bonus Payments

Clients may send optional bonus payments to Professionals at any time through the Platform. Bonus payments are transferred directly to the Professional's Stripe account with no platform fee deducted. Bonus payments are non-refundable once processed through Stripe.

Refund Policy

If a Client and Professional mutually agree to cancel a contract before a Deliverable is approved, the Client may request a refund of any payments made. Refunds are subject to mutual agreement between both parties. Refunds are not automatically granted in cases of dispute — disputed contracts are subject to Intellix Hub's mediation process described in Section 13. Intellix Hub does not guarantee refunds and reserves the right to make final decisions on contested refund requests.

Taxes

Each user is solely responsible for determining their own tax obligations arising from transactions on the Platform. Intellix Hub does not collect or remit taxes on behalf of users. Professionals operating as independent contractors are responsible for reporting income and paying applicable self-employment, income, VAT, GST, or other taxes in their jurisdiction. Clients are responsible for any applicable withholding tax obligations.

10. Contracts Between Users

When a Client hires a Professional through the Platform, a direct contract is formed between those two parties. Intellix Hub is not a party to that contract. We provide the infrastructure and tools to facilitate the relationship, but we do not supervise, direct, or control the work performed.

Professionals are independent contractors, not employees, agents, or representatives of Intellix Hub. Nothing in these Terms creates an employment relationship, partnership, or joint venture between Intellix Hub and any Professional.

Clients and Professionals are solely responsible for the terms of their working agreements, the quality of deliverables, meeting deadlines, and resolving any disagreements about scope. Intellix Hub's mediation process (Section 13) is available as a resource but does not constitute legal arbitration and is offered on a best-efforts basis.

11. Prohibited Conduct

By using the Platform, you agree not to engage in any of the following prohibited activities. Violation may result in immediate account suspension or permanent termination.

Circumventing the Platform

You may not take any steps to move a working relationship off the Intellix Hub Platform to avoid paying the Platform Fee, including sharing personal contact information before a formal contract is established. If you find a match through Intellix Hub, all paid work arising from that relationship must be conducted through the Platform for a period of 24 months.

Fake or Misleading Content

You may not create fake profiles, fabricate reviews, misrepresent credentials, or otherwise deceive other users or Intellix Hub.

Harassment & Discrimination

You may not harass, bully, threaten, or discriminate against any user on the basis of race, ethnicity, nationality, gender, gender identity, sexual orientation, religion, age, disability, or any other protected characteristic.

Illegal Activities

You may not use the Platform to engage in, facilitate, or promote any activity that is illegal under applicable local, national, or international law.

Sharing Contact Information to Bypass the Platform

You may not share personal email addresses, phone numbers, social media handles, or any contact information in job descriptions, proposals, or messages for the purpose of conducting transactions outside the Platform.

Intellectual Property Infringement

You may not post, upload, or distribute content that infringes on the intellectual property rights of any third party, including copyrights, trademarks, or patents.

Spam & Unsolicited Communications

You may not send unsolicited bulk messages, promotional content, or spam to other users through the Platform's messaging system.

Platform Manipulation

You may not use automated tools, bots, scripts, or other means to scrape data, manipulate rankings, artificially inflate profile views, or interfere with the normal operation of the Platform.

12. Intellectual Property

Intellix Hub's Intellectual Property

The Intellix Hub Platform — including its design, code, trademarks, logos, trade names, and all proprietary content — is owned by or licensed to Intellix Hub and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works of any part of the Platform without our express written consent.

User Content Ownership

You retain ownership of any Content you create and post on the Platform. By posting Content, you grant Intellix Hub a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, display, and distribute that Content for the purposes of operating and promoting the Platform. This licence ends when you remove the Content or delete your account, except where the Content has been shared with others who have not deleted it.

Work Product Ownership

Ownership of deliverables produced by a Professional for a Client is governed by the contract between those parties. By default, upon full payment being confirmed, all rights to the deliverable transfer to the Client unless the parties have explicitly agreed otherwise in writing. Professionals should clearly agree on IP terms before commencing work.

DMCA Policy

We respect intellectual property rights and expect our users to do the same. If you believe that any Content on the Platform infringes your copyright, please send a DMCA takedown notice to admin@intellix-hub.com including: (i) a description of the copyrighted work; (ii) the URL of the allegedly infringing content; (iii) your contact information; (iv) a statement of good faith belief; and (v) a statement of accuracy under penalty of perjury.

13. Dispute Resolution

Disputes Between Users

If a dispute arises between a Client and a Professional regarding a contract, both parties should first attempt to resolve the matter through direct communication via the Platform's messaging system. If direct resolution fails, either party may escalate to Intellix Hub by contacting support@intellix-hub.com. Intellix Hub will review the dispute on a best-efforts basis and may make a determination regarding payment resolution. Our decision is final in such cases, but does not prevent either party from seeking legal remedies through the courts.

Disputes Against Intellix Hub — Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform — except as set out below — shall be resolved through binding arbitration in accordance with the rules of a recognised arbitration body, rather than in court. The arbitration will be conducted in English. You waive your right to a trial by jury for any such dispute.

Class Action Waiver

To the maximum extent permitted by applicable law, you waive any right to bring or participate in a class action, class arbitration, or representative proceeding against Intellix Hub. All claims must be brought solely on an individual basis.

Exceptions to Arbitration

The following disputes are not subject to the arbitration clause above: (i) claims involving alleged infringement of intellectual property rights; (ii) claims for emergency or interim injunctive relief; and (iii) claims that applicable law requires to proceed in court.

Governing Law

These Terms shall be governed by and construed in accordance with applicable law. For matters not subject to arbitration, you consent to the exclusive jurisdiction of competent courts. Users in the European Union retain any mandatory consumer protection rights afforded by EU law, which cannot be waived by contract.

14. Disclaimers & Limitation of Liability

Platform Provided "As Is": The Intellix Hub Platform is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

No Guarantee of Earnings

Intellix Hub does not guarantee that any Professional will earn any specific amount of income or receive any particular number of job offers or contracts through the Platform. Earnings depend entirely on market demand, the Professional's skills and competitive pricing, and many factors outside our control.

No Guarantee of Finding Talent

Intellix Hub does not guarantee that any Client will find a suitable Professional for their requirements within any particular timeframe or at all. The Platform facilitates connections — it does not guarantee outcomes.

Limitation of Liability

To the maximum extent permitted by applicable law, Intellix Hub, its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages.

In all cases, our aggregate liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the greater of: (a) the total Platform Fees paid by or to you in the twelve months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Intellix Hub and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use or misuse of the Platform
  • Content you post or transmit through the Platform
  • Any contract you enter into with another user through the Platform
  • Your violation of any applicable law or the rights of any third party
  • Any dispute between you and another user

Intellix Hub reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you. You agree to cooperate fully with our defence of any such claims.

16. Termination

Termination by You

You may delete your Intellix Hub account at any time by navigating to your account settings. Upon deletion, your profile will be removed from public view. However, some data may be retained in accordance with our Privacy Policy and legal obligations.

Termination by Intellix Hub

We reserve the right to suspend or permanently terminate your account, with or without notice, for any violation of these Terms, fraudulent or abusive behaviour, or in our sole discretion where continued access would be contrary to the interests of the Platform or its users.

Effect of Termination on Active Contracts

If your account is terminated while you have active contracts or pending payments:

  • Client accounts terminated for violations: any outstanding payments to Professionals for completed work must be settled before account closure.
  • Professional accounts terminated for violations: payment for incomplete Deliverables may be withheld pending resolution.
  • Termination for non-violations (e.g., account deletion): parties will be given reasonable time to conclude active contracts.

Survival

Sections 8 (Platform Fee), 12 (Intellectual Property), 13 (Dispute Resolution), 14 (Disclaimers & Limitation of Liability), 15 (Indemnification), and any other provisions that by their nature should survive, will survive termination of these Terms and your account.

17. International Use

Intellix Hub is a globally accessible platform and welcomes users from around the world. However, by accessing the Platform, you acknowledge and agree that:

  • You are responsible for compliance with all applicable local, national, and international laws in your jurisdiction, including any laws regarding the transmission of technical data, export controls, and applicable employment or contractor regulations.
  • Currency conversion and any associated fees are your responsibility. All Platform transactions are denominated in USD unless otherwise stated.
  • You are solely responsible for understanding and meeting your tax obligations in your jurisdiction, including income tax, VAT, GST, withholding taxes, and any other applicable levies.
  • Intellix Hub does not guarantee that the Platform is appropriate or legal for use in every jurisdiction. If you access the Platform from outside your country of residence, you do so at your own initiative and at your own risk.
  • Some features may not be available in all countries due to regulatory or payment processing restrictions.

18. Changes to Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will update the "Last updated" date at the top of this page, send a notification to the email address associated with your account, and display a prominent notice on the Platform.

Changes become effective on the date specified in the notice. For material changes, we will provide at least 30 days' notice before the new Terms take effect, except where changes are required by law or to address security issues, in which case shorter notice may be given.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree with the revised Terms, you must stop using the Platform and delete your account.

19. Severability & Entire Agreement

Severability: If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

Entire Agreement: These Terms of Service, together with our Privacy Policy and any other agreements or policies expressly incorporated herein, constitute the entire agreement between you and Intellix Hub with respect to the Platform and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral.

No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. A waiver of any right or provision will only be effective if in writing and signed by an authorised representative of Intellix Hub.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Intellix Hub may freely assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of assets.
